This Terms of Use Agreement (“Agreement”) constitutes a legally binding agreement made between you, whether personally or on behalf of an entity (“User” or “you”), and IV&V Testing Solutions, LLC and its affiliated companies (collectively, “IVVTS”) concerning your access to and use of the IVVTS website as well as any other media form, media channel, or mobile website related or connected thereto (collectively, the “Site”). The Site is generally accessible to the public and provides information regarding services and products provided by IVVTS (“IVVTS Services”). For the avoidance of doubt, this Agreement does not apply to password-protected websites created by IVVTS for specific IVVTS clients. Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby incorporated into this Agreement by reference.

IVVTS makes no representation that the Site is appropriate or available in locations other than where it is operated by IVVTS. The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject IVVTS to any registration requirement within such jurisdiction or country. Accordingly, those people who choose to access the Site from other locations do so at their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

Acceptance of Terms

YOU ACCEPT AND AGREE TO BE BOUND BY THIS AGREEMENT BY CONTINUING TO USE THE SITE. IF YOU DO NOT AGREE TO ABIDE BY THIS AGREEMENT OR TO MODIFICATIONS THAT IVVTS MAY MAKE TO THIS AGREEMENT IN THE FUTURE, YOU MAY NOT USE OR ACCESS OR CONTINUE TO USE OR ACCESS THE SITE.

SUBMISSIONS FOR BLOG MATERIAL

No business relationship is created using the Site or the submission of comments or materials to IVVTS. You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information about the Site or IVVTS Services (“Submissions”) provided by you to IVVTS are non-proprietary and non-confidential, and that IVVTS (as well as any designee of IVVTS) shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

Prohibited Activities

You may not access or use the Site for any purpose other than those for which IVVTS makes it available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by IVVTS. Prohibited activity includes, but is not limited to:

• Attempting to bypass any measures of the Site designed to prevent or restrict access to the Site, or to any portion of the Site.
• Attempting to impersonate another user or person.
• Criminal or tortious activity.
• Deciphering, decompiling, disassembling, or reverse engineering any software comprising or in any way making up the Site.
• Deleting the copyright or other proprietary rights notice from any IVVTS Content.
• Engaging in any automated use of the Site, such as using any data mining, robots, or similar data gathering and extraction tools.
• Except as may be the result of standard search engine or Internet browser usage, using or launching, developing, or distributing any automated system, including, without limitation, any spider, robot (or “bot”), utility, scraper, or offline reader that accesses the Site, or using or launching any unauthorized script or other software.
• Harassing, annoying, intimidating, or threatening any IVVTS employee or agent.
• Interfering with, disrupting, or causing an undue burden on the Site or the networks or services connected to the Site.
• Making any unauthorized use of the Site, including, without limitation,      collecting usernames and/or email addresses by electronic or other means for the purposes of sending unsolicited email.
• Systematic retrieval of data or other content from the Site to create or compile,      directly or indirectly, a collection, compilation, database, or directory without written permission from IVVTS.
• Tricking, defrauding, or misleading IVVTS or other users, including, without limitation, to learn sensitive information such as passwords.
• Using any information obtained from the Site to harass, abuse, or harm another person.
• Using the Site as part of any effort to compete with IVVTS or to provide services as a service bureau.
• Using the Site in a manner inconsistent with any applicable laws and regulations.

The contents on the Site (“IVVTS Content”) and the trademarks, service marks, and logos contained therein (“Marks”) are owned by or licensed to IVVTS. They are subject to copyright and other intellectual property rights under United States and foreign laws and international conventions. IVVTS Content includes, without limitation, all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics. All IVVTS graphics, logos, designs, page headers, button icons, scripts, and service names are registered trademarks, common law trademarks, and/or trade dress of IVVTS in the United States and/or any other countries. IVVTS’s trademarks and trade dress may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or service in any manner that is likely to cause confusion and may not be copied, imitated, or used, in whole or in part, without the prior written permission of IVVTS.

Site Management

IVVTS reserves the right, but in no event shall have the obligation, to:

• Monitor the Site for violations of this Agreement.
• Take appropriate legal action against anyone who, in IVVTS’s sole discretion, violates this Agreement, including, without limitation, notice, or liability, reporting such User to law enforcement authorities.
• In IVVTS’s sole discretion and without limitation, notice, or liability, refuse, restrict access to or availability of, or disable (to the extent technologically feasible) any User’s contribution or any portion thereof that may violate this Agreement or any IVVTS policy.
• In IVVTS’s sole discretion and without limitation, notice, or liability, remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to IVVTS’s systems.
• Otherwise, manage the Site in a manner designed to protect the rights and property of IVVTS and others and to facilitate the proper functioning of the Site.

Disputes between Users

If there is a dispute between Users of this Site, or between Users and any third party, you understand and agree that IVVTS is under no obligation to become involved in such a matter. In the event that you have a dispute with one or more other Users, you hereby release IVVTS, its officers, employees, agents, and successors in rights from claims, demands, and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed, and undisclosed, arising out of or in any way related to such disputes and/or the Site.

Governing Law; Jurisdiction

This Agreement and all aspects of the Site shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law provisions. With respect to any disputes or claims not subject to informal dispute resolution or arbitration (as set forth below), (1) you agree not to commence or prosecute any action in connection therewith other than in the state and federal courts located in Las Animas County, State of Colorado, (2) you hereby consent to personal jurisdiction in such state and federal courts, and (3) you waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. 

Informal Resolution

To expedite resolution and control the cost of any dispute, controversy, or claim related to this Agreement (“Dispute”), you and IVVTS agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating any arbitration or court proceeding. Such informal negotiations commence upon written notice from one party to the other.
